1. Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement between you, the teacher or educator using the Services ("you" or "User"), and AIME 52 LTD, trading as aime, a company registered in England and Wales under company number 16934337 with its registered office at Isabella House, 24-26 Regents Place, Birmingham, B1 3NJ, United Kingdom ("aime," "we," "our," or "us"). These Terms govern your access to and use of aime's websites, applications, and related offerings (collectively, the "Services"). By creating an account, subscribing to a plan, or otherwise using the Services, you acknowledge that you have read and understood these Terms and that you agree to be bound by them. If you do not accept these Terms, you may not access or use the Services.

2. Eligibility

Accounts are for teachers and educators who are eighteen years of age or older. By registering for an account, you represent and warrant that you meet this eligibility requirement. Pupils cannot hold an account. A teacher may let their pupils take part through the pupil features of the Services, such as live lessons and set work in aime jam, take-home packs and Leo, the study coach, as described in the paragraphs on using aime with pupils below.

3. Accounts

To use the Services, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account, whether or not authorised by you. If you choose to access the Services using third-party single sign-on authentication such as Google or Microsoft, authentication will be managed by those providers, and aime will receive only limited profile information, such as your name and email address, for the purpose of establishing your account. You must notify aime immediately if you become aware of any unauthorised use of your account.

4. Plans, Subscriptions and Payments

The Services are offered on three plans: Free, aime pro and aime pro+. The plan page in your account, as updated from time to time, sets out what each plan includes and is the authoritative description of each plan's features. In summary:

Free is provided at no charge. It includes up to twenty new lesson generations per calendar month (UTC) for each User, which may be used across any number of classes; regenerating a lesson you already have, regenerating a single slide and creating unit tests do not count towards that limit. It also includes unlimited classes, Lesson Canvas, aime jam live lessons, aime reader online and offline, Voice Mirror, Google Classroom sync, assessments and unit tests, mastery reporting, take-home work, handout PDFs (which carry an aime watermark), small text corrections to slides, and help from Eva in the help centre.

aime pro is a paid subscription. It includes everything in Free with unlimited lesson generation, full aime Studio editing and AI improvement of lessons, Media Finder, a full year of Teaching Memory, class coverage heatmaps, lesson recording and auto-captions, assessment analytics across classes and year groups, handout PDFs without a watermark, and the option to add the Eva councils add-on.

aime pro+ is a paid subscription. It includes everything in aime pro together with Teacher Eva (including Eva's voice minutes, which are subject to a monthly allowance), aime drama, and priority and higher-quality lesson generation: your lessons are queued ahead of other plans, are written by our most capable model, receive an additional review pass, and include support and stretch versions. Accuracy checks on lesson content are the same on every plan.

Some features are offered as add-ons to a paid plan, at the price and with the monthly allowance shown when you add them. Allowances reset at the start of each calendar month (UTC) and unused allowance does not carry over. Features above your plan remain visible in the Services but cannot be used until you change plan. If you move to a lower plan, the content you created is kept, but features that are not included in your new plan stop being available to you.

Paid subscriptions may be purchased on a monthly or annual basis. Subscription fees are payable in advance and are processed securely by Stripe, Inc. or its affiliates. aime does not store or retain your payment card information; such information is collected and processed directly by Stripe in accordance with its own terms and privacy policy. Subscriptions renew automatically at the end of each billing cycle unless cancelled in accordance with Section 6 of these Terms. All fees are stated exclusive of applicable taxes, which may be added in accordance with the law of your jurisdiction.

5. Free Trial

aime may, at its discretion, provide new Users with a free trial of aime pro for a limited period, currently fourteen days, without requiring a payment card. If you add a payment method during the trial, the trial is extended by a further seven days and, unless you cancel before it ends, it converts into a paid subscription at the then-current applicable rate; the date of your first charge is shown to you before you confirm. If you do not add a payment method, your account returns to the Free plan when the trial ends and you are not charged. aime may also offer a free trial of aime pro+ for a limited period; when it ends, your account returns to the plan you were on before, and you are not charged unless you subscribe. Each User is entitled to only one free trial of each plan, and aime reserves the right to revoke access in cases of abuse.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. If you cancel a monthly subscription, access to the Services will continue until the end of the current billing cycle, after which your subscription will not renew. No refunds or credits will be issued for partial months.

If you cancel an annual subscription within fourteen days of purchase, you will receive a full refund of amounts paid. Beyond this fourteen-day period, no refunds will be granted, and access will continue until the end of the annual subscription term. Refunds that are due will be processed within ten business days of approval.

7. Acceptable Use and Fair Usage Policy

The Services are provided for the personal, individual use of teachers only. Accounts may not be shared between multiple users, resold, sublicensed, or used for commercial purposes beyond the scope of individual teaching without aime's prior written consent. You agree not to use the Services to engage in unlawful, harmful, or abusive activity, including the upload of prohibited content or attempts to interfere with the proper functioning of the Services.

aime enforces a Fair Usage Policy. While reasonable and active use of the Services is encouraged, excessive use that exceeds normal patterns of activity for an individual teacher, or automated use that degrades system stability, may result in throttling of your account, suspension of access, or permanent termination. The determination of excessive or abusive use shall be made by aime at its sole discretion.

You must not use the Services to upload sensitive information about pupils, such as health, special educational needs or safeguarding details, or pupils' contact details, and you must not use the Services on behalf of a person under eighteen other than through the pupil features.

Using aime with pupils. When you use the pupil features with your class, your school, or you where you teach independently, decides whether and how pupils use aime and is the controller of the pupils' information described in section 4A of our Privacy Policy. You confirm that you have your school's permission to do so where you teach at a school. The controller is responsible for having a lawful basis for that use and for telling pupils and their parents or carers about it.

For that information, aime acts as processor and will: process it only on the controller's documented instructions, which are given by these Terms and by how the Services are used, unless the law requires otherwise; make sure that anyone who processes it is bound by confidentiality; protect it with the security measures described in our Privacy Policy; use only the Sub-processors in our Sub-Processor List, under written terms that protect the information to the same standard, and give advance notice of any new Sub-processor so that the controller can object; help the controller to answer requests from pupils and parents and to meet its obligations on security, breaches and impact assessments; notify the controller without undue delay after becoming aware of a personal data breach affecting the information; delete it at the end of the retention periods in our Privacy Policy, or when the teacher's account is deleted, unless the law requires it to be kept; and make available the information needed to show that these obligations are met. A school that wants a separate data processing agreement may ask us for one.

8. Third-Party Services and AI Outputs

Certain elements of the Services are provided in cooperation with third parties. All payment transactions are handled by Stripe, and your use of Stripe is subject to its terms and conditions. If you authenticate using Google or Microsoft single sign-on, your use of those services is governed by their respective terms. If you connect Google Classroom, aime syncs the classes you choose and the coursework submissions for assignments you set through aime, under Google's terms.

The Services also incorporate functionality powered by third-party large language models and generative artificial intelligence systems ("LLMs" or "GenAI"). You acknowledge and agree that aime does not create, curate, or control the outputs generated by such systems, that outputs are generated on the basis of probabilistic modelling and data sets not curated by aime, and that such outputs may contain inaccuracies, omissions, biases, offensive material, or content that is otherwise inappropriate or unsuitable for educational use. aime makes no representation and provides no warranty, express or implied, as to the accuracy, legality, reliability, or fitness for any purpose of any outputs produced by third-party LLMs.

You further acknowledge and agree that aime shall not be liable for any losses, damages, costs, or claims arising out of or in connection with your reliance upon or use of outputs generated by LLMs, and that you assume full responsibility for reviewing, verifying, and validating such outputs before relying on them in any educational, professional, or personal context. The Services are designed to support, not replace, professional judgment, and you remain solely responsible for ensuring that lesson materials, pacing plans, assessments, and any other educational content created or delivered through the Services meet applicable curriculum requirements, pedagogical standards, and safeguarding obligations. To the fullest extent permitted by law, all risk relating to reliance upon content generated by LLMs rests with you as the User.

9. Intellectual Property

aime retains all rights, title, and interest in and to the Services, including all associated software, content, trademarks, and branding. Nothing in these Terms grants you ownership of or rights in the Services except as expressly set forth herein. You retain ownership of the lesson content, pacing notes, and reflections you create using the Services. By creating such content, you grant aime a limited, non-exclusive, royalty-free licence to store and process your content solely for the purpose of delivering the Services to you.

10. Limitation of Liability

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, aime disclaims all warranties, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, aime shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm, arising out of or in connection with your use of the Services. In no event shall aime's aggregate liability for all claims exceed the total subscription fees paid by you in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless aime, its officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or in connection with your misuse of the Services, your violation of these Terms, or your reliance on outputs generated by third-party LLMs.

12. Termination

aime may suspend or terminate your account and access to the Services at any time if you breach these Terms, misuse the Services, or engage in conduct that aime determines, in its reasonable discretion, to be harmful to its operations or to other users. Upon termination, your right to access and use the Services shall immediately cease. You may terminate your subscription at any time by cancelling in accordance with Section 6.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales. You and aime agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute or claim arising out of or in connection with these Terms.

14. Changes to Terms

aime reserves the right to amend these Terms from time to time. Any material changes will be communicated by email or through an in-application notification. Your continued use of the Services following the effective date of any changes will constitute your acceptance of the revised Terms.
